Mr. Wilde specializes in cross-border corporate finance, mainly representing depositary banks in connection with establishment of depositary receipt programs (also referred to as ADRs or GDRs) and cross-border securities offerings utilizing depositary receipt structures. He has also represented banks acting as trustees or agents in connection with debt issuance programs such as medium term notes and Eurobond offerings, cross-border tender offers, exchange offers and rights offerings and has represented issuers and underwriters in connection with cross-border and domestic equity, debt and structured finance offerings.
He has been instrumental in the development and evolution of all the depositary receipt (depositary shares) structures used today as well as in the development of other novel financial products, including New York shares programs and global share programs for non-U.S. issuers, HOLDRSs (trust-based stock basket products) and the SPDR Gold Trust and iShares Gold Trust (trust-based precious metal products).
