Dwayne B. Latimore
Dwayne Latimore is a member of the firm’s Depositary Receipts and Real Estate groups. Mr. Latimore represents depositary banks in connection with the establishment of depositary receipt programs, cross-border securities offerings utilizing depositary receipt structures, exchanges and rights offers. Mr. Latimore has extensive experience working with the Securities and Exchange Commission in the preparation and filing of F-6 registration statements, prospectuses filed under Rule 424 and Form IDs.
Mr. Latimore’s practice also includes commercial real estate transactions. He drafts and negotiates closing documents, including promissory notes, security agreements, mortgages and various pre-closing documents in connection with multi-family mortgage loans intended for securitization or other sale in the secondary market.
Mr. Latimore started with the firm as a paralegal in 2010. He attended law school in the evening and became a member of the Securities and Arbitration Clinic. During his membership, Mr. Latimore and his team successfully negotiated a settlement in a churning case governed by the Financial Industry Regulatory Authority (FINRA). Mr. Latimore graduated from law school in 2018 and was a recipient of the 2018 Dean’s Leadership Award.
